The specific scope, deliverables, timeline, and pricing for each consulting engagement are defined in a separate engagement agreement between Polaris Shift and the client. These Terms and Conditions apply in addition to any such engagement agreement.

4. User Responsibilities

When using our website, you agree to: provide accurate information in any forms you submit, use the website only for lawful purposes, refrain from attempting to gain unauthorized access to any part of the site or its systems, not reproduce, distribute, or use our content without prior written permission, and not engage in any activity that could damage, disable, or impair the website.

When engaging our consulting services, you are responsible for providing accurate and complete information necessary for us to perform the agreed work, and for making timely decisions and approvals as required by the engagement timeline.

5. Intellectual Property

Deliverables created during consulting engagements are subject to the intellectual property terms specified in the relevant engagement agreement. Generally, upon full payment, clients receive a license to use deliverables for their internal business purposes.

6. Payment Terms

Consulting service fees are quoted in Thai Baht (฿) unless otherwise agreed. Specific payment terms, including schedules and accepted methods, are outlined in individual engagement agreements.

Invoices are typically structured around project milestones. Late payments may result in suspension of work until outstanding amounts are settled. Any applicable taxes are the responsibility of the client unless stated otherwise in the engagement agreement.

7. Service-Specific Terms

For consulting engagements: the scope of work is defined in a signed engagement agreement. Any changes to scope require written agreement from both parties and may affect pricing and timeline. We commit to delivering work within the agreed timeframe, subject to timely provision of required information and approvals by the client.

Confidentiality provisions are standard in all engagements. Both parties agree to protect the confidential information of the other, including business strategies, financial data, and proprietary methodologies.

8. Disclaimers

Our consulting services are advisory in nature. All recommendations are based on our professional assessment and the information made available to us. We do not guarantee any particular business outcome as a result of implementing our recommendations. Decisions to act on our advice remain the responsibility of the client.

Our website content is provided for general informational purposes and does not constitute professional advice. While we make reasonable efforts to keep website content current and accurate, we do not warrant that it is complete, reliable, or free of errors.

9. Limitation of Liability

Our total liability for any claim arising from a consulting engagement shall not exceed the total fees paid by the client for that specific engagement. This limitation does not apply to damages arising from gross negligence or willful misconduct.

You agree to indemnify and hold Polaris Shift harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of our website, or any misrepresentation of information you provide to us.

11. Termination

We may restrict or terminate your access to our website at our discretion if we believe you have violated these Terms. For consulting engagements, termination provisions are specified in the engagement agreement.

Upon termination of any engagement, provisions related to confidentiality, intellectual property, limitation of liability, and indemnification shall continue to apply.

12. Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes arising from or relating to these Terms shall be subject to the jurisdiction of the courts of Bangkok, Thailand.

Before initiating formal proceedings, both parties agree to attempt informal resolution through good-faith negotiation for a period of at least thirty days.

13. General Provisions

These Terms represent the entire agreement between you and Polaris Shift regarding use of our website. If any provision is found to be unenforceable, the remaining provisions shall continue in full force. Our failure to enforce any right does not constitute a waiver of that right. We may not assign these Terms without your consent, except in the event of a merger or acquisition.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of our website after changes are posted constitutes your acceptance of the revised Terms. For material changes that affect existing consulting engagements, we will provide direct notice to affected clients.
